1) Acceptance of Terms #
By creating an account, clicking “I agree,” or using the Services, you accept these Terms and our Privacy Policy. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.
2) Eligibility & Accounts #
- You must be at least 13 years old (or the minimum age required by your local law).
- You are responsible for maintaining the confidentiality of your credentials and for activity under your account.
- Provide accurate information and keep it updated.
3) User Content & Licenses #
You retain ownership of the content you create using Spify (e.g., short links, QR codes, bio pages). You grant us a worldwide, non-exclusive license to host, store, transmit, display, and process your content solely to provide and improve the Services.
4) Acceptable Use #
You agree not to use the Services to:
- Violate any law, regulation, or third-party rights (including IP, privacy, and publicity rights).
- Publish or distribute malware, phishing, scams, spyware, or content that exploits security vulnerabilities.
- Direct to harmful or illegal content (e.g., CSAM, terrorism, doxxing, harassment, self-harm promotion, illicit drugs, weapons, or other prohibited material).
- Send unsolicited or bulk spam, or circumvent rate-limits and platform restrictions.
- Interfere with or disable the Services, perform DDoS, scrape data without permission, or test security without written consent.
- Misrepresent affiliation with any person or brand; impersonate Spify/Ocoxe or other entities.
We may remove content, disable links/QRs, or suspend accounts that violate these Terms.
5) Links, QR Codes & Bio Pages #
- You are solely responsible for destinations you shorten or encode and for disclosures (e.g., affiliate tags, ads).
- We may apply automated or manual checks, filters, and reputation signals to prevent abuse.
- We may display interstitials, warnings, rate-limits, or captchas if risk is detected.
6) Abuse, Security & DMCA #
Report abusive or infringing content via /report-abuse or email [email protected]. For copyright claims under the DMCA, include: (i) identification of the work; (ii) identification of the allegedly infringing material; (iii) contact info; (iv) a statement of good-faith belief; (v) a statement under penalty of perjury; and (vi) your physical or electronic signature.
We may notify the user, remove or disable access to the material, and—where applicable—process counter-notifications.
7) Plans, Payments & Refunds #
- Some features may require a paid plan. Prices, limits, and features may change with notice.
- Payments are processed by third-party processors (e.g., Stripe/PayPal). We do not store full card details.
- Subscriptions renew automatically unless cancelled before the renewal date.
- Refunds, if offered, follow the plan’s posted policy at the time of purchase.
- Failure to pay may result in suspension or downgrade.
8) Privacy & Data #
Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using Spify, you consent to the practices described there.
9) Third-Party Services & Integrations #
Spify can connect with third-party platforms (e.g., analytics, ad platforms, CRMs). Those services are governed by their own terms and privacy policies. Spify is a product of Ocoxe and is not affiliated with, sponsored by, or endorsed by any third-party business or brand mentioned; logos/names are shown only to illustrate integrations.
10) Disclaimers #
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
11) Limitation of Liability #
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SPIFY/OCOXE OR ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU TO US IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY OR (B) USD $100.
12) Indemnification #
You agree to indemnify and hold harmless Spify/Ocoxe and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your content, or your violation of these Terms.
13) Suspension & Termination #
We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other users, creates legal exposure, or for operational/security reasons. You may stop using the Services at any time; certain obligations (e.g., payment, indemnity) survive termination.
14) Governing Law & Dispute Resolution #
These Terms are governed by the laws of the jurisdiction where Ocoxe is organized, without regard to conflicts of law principles. Venue and exclusive jurisdiction for any dispute shall lie in the competent courts of that jurisdiction, unless a different forum is required by applicable law.
15) Changes to Terms #
We may update these Terms from time to time. We’ll post the updated version with a new effective date, and may provide additional notice for material changes. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
